      SmartStop benefits from an
      executive management team with expertise in truck stop operations, the trucking industry,
      telecommunications, credit card processing and technology. Through their knowledge and
      expertise, the Company believes it has a deep and real world understanding of trucking
      industry economics, service needs and industry trends.
      Mark Evers, Chief Executive Officer: 
       Mr. Evers has been the Chief Executive
      Officer and a Director of SmartStop, Inc., since November 1997. In April 1998, Mr. Evers
      assumed the responsibilities of President and CEO, as well as Director. He has a degree in
      Chemical Engineering from Tulane University and an MBA from The Tuck School at Dartmouth
      College. Mr. Evers spent nearly 20 years with Shell Oil Company. During his tenure at
      Shell, he held many different assignments, each with increasing levels of
      responsibilities. Throughout his career at Shell, Mr. Evers was involved in numerous
      business development efforts. One highlight was the launch of a new credit card product,
      called the Shell MasterCard from Chase. Introduced in 1993, this card was the first
      national co-branded credit card that allowed cardholders to earn free gasoline.  In
      1995, Mr. Evers joined First Data Corporation as President of First Data Oil Services.
      This business unit provides credit card processing services to major domestic oil
      companies. 
      Alan J. Beauchamp, Vice
      President Finance & Chief Financial Officer: 
      Alan J. Beauchamp is the Vice President of
      Finance and Chief Financial Officer of SmartStop. Mr. Beauchamp brings to SmartStop more
      than 25 years of financial and operations management experience in the high technology
      sector. Mr. Beauchamps experience ranges from emerging technology companies such as
      Logic Modeling, Summit Design and Computervision to mature multinational technology
      corporations such as Data I/O Corporation, Mentor Graphics and Wang Laboratories. Prior to
      joining SmartStop, Mr. Beauchamp served as Chief Financial Officer/VP Finance for Data I/O
      Corporation (NASDAQ: DAIO), a manufacturer of semi-conductor programming equipment. Mr.
      Beauchamp holds an MBA from the University of Massachusetts and a BSBA from Northeastern
      University. Additionally, Mr. Beauchamp has instructed numerous business courses on both
      the graduate and undergraduate level at leading institutions of higher learning over the
      past two decades.  
      Mark Gilbert, Vice President, Operations: 
      Mark E. Gilbert is Vice President of Operations
      for SmartStop. Mr. Gilbert brings over 20 years of public telecommunications network
      design, deployment, marketing and journey management. Mr. Gilbert possesses in-depth
      knowledge of strategic, technical, financial and market planning in relation to CLECs,
      utilities, municipal governments and developers. Mr. Gilbert possesses broad technical
      knowledge and experience in designing and deploying local and wide area data and
      telecommunications networks. Mr. Gilbert was responsible for the design vision and
      deployment of a NGTN within the Republic of Panama. Additionally, Mr. Gilbert has held
      management-level positions with such industry leaders as GTE, Fujitsu, major cable TV
      companies, and a managing agent for an international CLEC practice for the Enterprise
      Consultant Group. Mr. Gilbert has an Executive MBA from the University of Southern
      California and a B.S. in Finance from the University of Southern California. 
      Jay S. Hemmady,
      Acting Director, Smart Card Technology: 
       Mr. Hemmady is the Chief Technology
      Officer for Jubitz and Acting Director, Smart Card Technology for SmartStop. Mr. Hemmady
      has over 20 years of leadership and technical experience in information technology. He has
      a demonstrated track record in deploying information technology in multi-divisional
      enterprises, with an emphasis in information technology for strategic competitive
      advantage. Mr. Hemmady has strong experience in software development process, open
      platforms, Internet technologies, distributed client/server systems and networked
      computing. As Chief Technology Officer of Jubitz, Mr. Hemmady has an in-depth
      understanding of the technology needs of truck stops and drivers through his work for
      Jubitz and DAT Services. Prior to Jubitz, Mr. Hemmady held management-level information
      technology positions at HealthChoice Administrators, JWP Information Systems, Legacy
      Health System and EDS. Mr. Hemmady has an MBA in Finance and Management Information from
      Southern Illinois University and a B.S. in Electrical Engineering from Indian Institute of
